1. Agreement to Terms

By accessing or using SyntaxValid ("Service", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

SyntaxValid is a code validation and analysis service that helps developers ensure code quality, security, and compliance with defined policies. The Service includes:

  • Code analysis and validation
  • Policy-based code checking
  • Security vulnerability detection
  • Dependency analysis
  • API access for programmatic integration

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You can create an account by:

  • Registering with an email address and password
  • Signing in with a third-party OAuth provider (Google, GitHub)

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and complete information
  • Notifying us immediately of any unauthorized use of your account

3.3 OAuth Authentication

When you sign in using OAuth providers (Google, GitHub), you authorize us to access certain information from your account as described in our Privacy Policy. You are responsible for managing your OAuth provider account settings and permissions.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Abuse, harass, or harm other users
  • Circumvent or attempt to circumvent rate limits or usage restrictions
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to analyze code that violates intellectual property rights

5. User Content and Data

5.1 Your Content

You retain ownership of any code, data, or content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide license to:

  • Process and analyze your User Content to provide the Service
  • Store your User Content as necessary to provide the Service
  • Generate analysis results and reports

5.2 Data Processing

We process your code with PII (Personally Identifiable Information) stripping to protect sensitive information. We only process code diffs and function blocks, not full repository contents.

5.3 Third-Party Services

Your code may be sent to third-party AI services (OpenAI, Anthropic) for analysis purposes. These services do not store your code. See our Privacy Policy for more details.

6. Service Availability and Modifications

We strive for 99.9% uptime but do not guarantee uninterrupted, error-free, or secure access to the Service. The Service may be unavailable due to:

  • Scheduled maintenance
  • Unforeseen technical issues
  • Third-party service outages
  • Force majeure events

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. Enterprise plans may include SLA guarantees as specified in your service agreement.

We may also impose limits on usage, including but not limited to the number of analyses per month, API rate limits, and data storage limits, based on your subscription plan.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by SyntaxValid and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service or its content, except for the limited license to use the Service as described in these Terms.

8. Payment and Billing

8.1 Subscription Plans

The Service offers various subscription plans with different features and usage limits. Free plans are available with limited functionality. Paid plans are billed on a monthly or annual basis.

8.2 Payment Terms

By subscribing to a paid plan, you agree to pay all fees associated with your subscription. Fees are charged in advance and are non-refundable except as required by law or as specified in your plan.

8.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of the billing period.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTAXVALID IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL SYNTAXVALID, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any errors or omissions in the Service
  • Any unauthorized access to or use of our servers or data
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless SyntaxValid, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees (for paid plans)
  • Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, subject to our data retention policies and legal obligations.

You may terminate your account at any time by using the account deletion feature in your dashboard settings or by contacting us.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except where prohibited by law.

13. Changes to Terms

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements.
